Reference agreement and Data Processing Addendum

Read both the reference agreement and the online-order addendum below. Your final order summary records your selected plan and approved business configuration.

Reference: v2.2, 4 September 2026. The addendum applies to new online orders and replaces conflicting provisions as stated below.

1. Application and order

For a new self-service online order, these provisions and the accepted order summary form an addendum to the Sophi Service Agreement and Data Processing Addendum v2.2 dated 4 September 2026. These provisions replace conflicting commercial terms in the reference agreement for that order only. Existing client agreements are unchanged. The contracting supplier is AZ Engineering Group Ltd.

2. Service and activation

The order covers the approved receptionist configuration, selected monthly minute allowance and supported integrations. Unsupported calendars, custom integrations and unusual requirements need a separate review. Business details and supported calendar settings must be completed and approved before payment. The monthly subscription starts with the first successful payment. Receptionist creation and telephone setup follow payment; provider verification or assistance can delay activation while the subscription is running. Service is active only after provisioning, successful testing of the current settings and telephone routing, confirmed payment and all activation checks. An AI receptionist can make errors; customers must review important bookings and maintain a way for callers to contact a person.

3. Fees and additional usage

Standard self-service setup is £0. The order summary fixes the selected monthly GBP price, included minutes and additional-minute rate. Usage beyond the included allowance continues at that rate, with customer consent recorded at checkout, and is billed monthly in arrears after reconciliation. Verified call time is allocated to the subscription period in which it occurs, aggregated and rounded up to the next second; the total additional-usage charge is rounded to the nearest penny. Demo and authorised setup-test calls are excluded from the allowance. Unused included minutes do not roll over. Custom work requires a separate accepted quote.

4. Subscription and cancellation

The subscription renews monthly from the first successful subscription payment. Customers can request cancellation before the next renewal through Billing or Support; cancellation takes effect at the end of the current paid billing period. This replaces the reference agreement’s 30-day advance-notice requirement for new online self-service orders. Cancellation does not remove valid outstanding usage charges. A failed payment can delay activation or suspend paid service; the dashboard must show that state accurately.

5. Tax and telephone providers

The supplier has confirmed that it is not currently VAT registered. No UK VAT is added under the present configuration. Any future tax or price change must be communicated before it applies. Customers remain responsible for their own telephone-provider and diversion charges. No number purchase, custom integration fee or other unlisted charge is included in an accepted online order.

6. Data and customer authority

Audio recording is disabled for the online configuration. Call summaries, necessary caller details and booking records are handled under the reference Data Processing Addendum and applicable privacy notices; contrary reference clauses authorising audio recording do not apply to this order. Customers must have authority to supply their business information, connect calendars and accept this agreement. The acceptance record includes the order, agreement version, settings revision, accepting account and time. These provisions do not restrict rights that cannot legally be excluded.
